Terms & Conditions

Bayvis Enterprises Ltd trading as exo31

1. Agreement to Terms

By commissioning services, requesting a quotation, making payment, or otherwise engaging Bayvis Enterprises Ltd trading as exo31 (“exo31”, “the Designer”, “we”, “us”, or “our”), the Client (“you” or “the Client”) agrees to be legally bound by these Terms and Conditions in full.

These Terms apply to all creative and professional services provided by exo31, including but not limited to:

  • Website design and development

  • Branding and logo design

  • Print design

  • Social media graphics

  • Marketing materials

  • Templates

  • Video editing

  • Event and promotional design

  • Bespoke creative services

If you do not agree to these Terms, you must not proceed with any commission or service.

 

2. Quotations & Scope of Work

2.1 Quotation Validity

All quotations issued by exo31 are valid for 30 days from the date of issue unless otherwise stated in writing.

2.2 Scope of Work

All quotes are based on the project brief supplied at the time of enquiry. Any amendments, additions, or changes to the agreed scope may result in additional charges and revised timelines.

2.3 Client Brief Responsibility

The Client is responsible for providing a clear, accurate, and complete project brief before work commences. Incomplete, unclear, or changing instructions may affect both cost and delivery schedule.

2.4 Right to Refuse

exo31 reserves the right to decline any project at its sole discretion.

 

3. Turnaround Times & Project Timelines

All timelines are estimates only and are calculated in working days (Monday–Friday, excluding public holidays).

Project timelines begin only once:

  • Full brief has been received

  • Required assets/content have been supplied

  • Deposit or full payment has cleared

3.1 Standard Estimated Turnaround Times

  • Website Design: 10–15 working days

  • Bespoke/Custom Design Projects: 5 working days

  • Template-Based Design Projects: 3 working days

  • Video Editing Projects: Timeline dependent on complexity and length, confirmed at quotation stage

3.2 Rush Orders

Expedited work may be available at exo31’s discretion and may incur a surcharge of up to 50% of the total project fee.

3.3 Client Delays

Failure to provide required materials, approvals, or feedback within 5 working days may pause the project.

Projects inactive for 30 calendar days or more may be archived or terminated, with fees paid forfeited.

 

4. Payment Terms

4.1 Website Projects

A non-refundable 50% deposit is required before work begins.

The remaining balance must be paid in full before:

  • Website launch

  • Transfer of ownership

  • Final handover

  • Release of assets

4.2 All Other Services

For all non-website projects, full payment upfront is required before work commences.

4.3 Final File Release

All deliverables, final files, exports, source files, and assets remain the property of exo31 until payment is received in full.

4.4 Late Payments

Invoices are due upon receipt unless otherwise agreed.

Late payments incur a 5% fee every 7 days on outstanding balances.

exo31 reserves the right to suspend all ongoing work until accounts are settled.

4.5 Payment Methods

Accepted payment methods will be outlined on the invoice. Bank transfer is preferred. Clients are responsible for any transaction, banking, or currency conversion fees.

 

5. Revisions, Drafts & Amendments

5.1 Included Revision Rounds

Each project includes a fixed number of revision rounds:

  • Logo & Brand Identity: 3 rounds

  • Print Design: 2 rounds

  • Website Design: 2 rounds

  • Templates: 1 round

  • Social Media Graphics: 2 rounds

  • Video Editing: 2 rounds

  • Bespoke Design/Illustration: 2 rounds

A revision round consists of one consolidated set of feedback submitted at one time.

5.2 Additional Revisions

Additional revisions beyond the included amount will incur extra charges at exo31’s standard hourly or flat revision rate.

5.3 Redesigns

Major changes in concept, direction, or project brief constitute a new project and will be quoted separately.

5.4 Approval

Once final approval is provided in writing, further amendments will be charged separately.

 

6. Client Responsibilities

6.1 Proofreading & Accuracy

The Client is solely responsible for reviewing and approving all:

  • Copy

  • Dates

  • Contact information

  • Pricing

  • Grammar

  • Spelling

  • Legal accuracy

exo31 accepts no liability for approved errors.

6.2 Supply of Assets

Clients must supply all required materials in the requested format and quality.

6.3 Legal Use of Materials

The Client warrants they own or have legal rights to all supplied content.

exo31 is not liable for copyright infringement resulting from client-supplied materials.

6.4 Third-Party Costs

Stock assets, premium fonts, plugins, hosting, domains, or third-party subscriptions are separate from design fees unless explicitly included.

 

7. Intellectual Property & Ownership

7.1 Ownership Transfer

Ownership of final approved deliverables transfers only upon full payment.

7.2 Source Files

Editable source files are not included unless agreed in writing and may incur additional charges.

7.3 Preliminary Concepts

Unused drafts, rejected concepts, and preliminary work remain the intellectual property of exo31.

7.4 Portfolio Rights

exo31 reserves the right to display completed work for portfolio, promotional, and marketing purposes unless confidentiality is agreed in writing prior to project commencement.

 

8. Confidentiality

exo31 will treat confidential business information with discretion and will not disclose proprietary information unless legally required.

 

9. Cancellations, Refunds & Termination

9.1 Cancellation by Client

  • Before work begins: Refund minus administrative costs

  • After concepts delivered: Minimum 50% fee retained

  • After revisions begin: No refund

  • Website deposits: Non-refundable once work commences

9.2 Cancellation by exo31

exo31 reserves the right to terminate projects involving:

  • Abuse

  • Harassment

  • Contract breach

  • Unreasonable conduct

  • Non-payment

Refunds, if any, will be proportionate to incomplete work only.

9.3 Approved Work

No refunds are issued after final approval or release of files.

 

10. Print, Production & Distribution

exo31 prepares files to professional standards but does not guarantee exact colour consistency across devices or printers.

Clients are responsible for obtaining print proofs where necessary.

exo31 is not liable for:

  • Print errors

  • Supplier issues

  • Colour discrepancies

  • Production delays from third parties

 

11. Website Design Specific Terms

11.1 Client Content

Clients must provide all required website assets before project commencement.

11.2 Maintenance

Unless covered by a separate agreement, exo31 is not responsible for:

  • Website maintenance

  • Hosting

  • Domain renewals

  • Security updates

  • Plugin subscriptions

  • Ongoing technical support

11.3 Post-Launch Changes

Changes requested after launch are billed separately.

11.4 SEO & Performance

exo31 does not guarantee:

  • Search rankings

  • SEO outcomes

  • Traffic performance

  • Third-party platform stability

 

12. Limitation of Liability

To the fullest extent permitted by law, exo31’s total liability shall not exceed the fees paid for the relevant project.

exo31 shall not be liable for:

  • Loss of profits

  • Business interruption

  • Data loss

  • Indirect damages

  • Third-party failures

  • Client misuse

 

13. Third-Party Platforms & Software

exo31 is not responsible for limitations, outages, pricing changes, or policy updates imposed by third-party services including:

  • Wix

  • Social media platforms

  • Hosting providers

  • Plugin developers

  • Print suppliers

  • External software tools

 

14. Force Majeure

exo31 shall not be held liable for delays or inability to perform services due to events beyond reasonable control, including but not limited to:

  • Illness

  • Technical failures

  • Internet outages

  • Natural disasters

  • Government restrictions

  • Cyber incidents

 

15. Chargebacks & Payment Disputes

Unauthorised chargebacks or payment disputes for legitimately provided services may result in:

  • Immediate suspension of services

  • Debt recovery action

  • Legal enforcement

  • Recovery of associated costs

 

16. Disputes & Governing Law

These Terms are governed by the laws of England and Wales.

Both parties agree to first attempt dispute resolution through written communication and mediation before formal legal proceedings.

Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

17. Amendments to Terms

exo31 reserves the right to amend these Terms at any time.

The Terms active at the time of project commencement shall govern that project.

 

18. Entire Agreement

These Terms, together with any project brief, written quote, invoice, or proposal, constitute the full agreement between exo31 and the Client.

 

Acceptance of Terms

By requesting services, accepting a quotation, making payment, or providing written confirmation to proceed, the Client confirms that they have read, understood, and agreed to these Terms and Conditions in full.
